Terms of Service

1. Acceptance of Terms

By accessing or using ZIBRI, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our service.

2. Description of Service

ZIBRI is an AI-powered note-taking and knowledge management platform that allows you to:

• Capture notes, documents, and recordings of your meetings
• Organize content in vaults with AI-powered tagging
• Chat with your knowledge using AI
• Build custom AI agents from your content (Pro tier)

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 13 years old to use ZIBRI
• One person may not maintain multiple free trial accounts
• You are responsible for all activities under your account

4. Free Trial

ZIBRI offers a 30-day free trial with Pro-level access:

• No credit card required to start your trial
• After 30 days, you will be automatically moved to the Personal tier ($9/month) unless you choose a different plan
• You can cancel or downgrade at any time during your trial
• Trial abuse (creating multiple accounts) may result in account termination

5. Subscription and Billing

Pricing Tiers

• Personal: $9/month or $90/year (16% discount)
• Pro: $19/month or $192/year (16% discount)

Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payments are processed securely through Stripe
• Prices are subject to change with 30 days notice
• You can upgrade or downgrade your plan at any time
• Upgrades take effect immediately; downgrades apply at next billing cycle

Refunds

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Non-refundable once purchased
• Refunds may be issued at our discretion for service issues

6. Cancellation

• You can cancel your subscription at any time from Account Settings
• Cancellation takes effect at the end of your current billing period
• You will retain access to your account until the end of the paid period
• After cancellation, your data will be retained for 30 days, then permanently deleted

7. Fair Use

AI is included in every ZIBRI plan. We don't count queries or charge for AI separately, and storage isn't sold in tiers. In return, both are for normal use by the person who holds the account: their own notes, documents, meetings and questions, and the work Pro features do on their behalf.

The following are outside fair use:

• Running scripts, bots or other automation that sends AI requests far beyond what a person would make, other than ordinary use of the API and MCP access your plan includes
• Using ZIBRI as a general-purpose AI service, model proxy, or backend for another product
• Sharing one account among several people, or exposing shared agents to traffic meant to extract a vault wholesale
• Using storage as a file backup or distribution service for material unrelated to your knowledge base

We watch for usage that is far outside the normal range. If your account looks like it falls outside fair use, we will contact you first to understand what's going on. If the usage continues, we may slow or pause the affected features, or end the account under Termination (Section 13). We don't use this to penalize heavy personal use. A busy month is what the product is for.

8. Acceptable Use Policy

You agree not to:

• Upload illegal, harmful, or inappropriate content
• Violate any laws or regulations
• Infringe on intellectual property rights
• Attempt to hack, disrupt, or reverse-engineer our service
• Use ZIBRI to spam, harass, or harm others
• Record people without the notice or consent the law requires
• Share your account credentials with others
• Use automated tools to scrape, overload or abuse the service (the API and MCP access your plan includes are fine, within Fair Use)
• Resell or redistribute ZIBRI's services

9. Recording Meetings (ZIBRI Recorder)

ZIBRI Recorder is an optional desktop app. It records your microphone and the sound of your meeting app, which includes other people's voices, and turns each meeting into a note. By using it, you agree that:

• Consent is your responsibility. Laws on recording conversations differ by place, and many require that everyone on a call be told, or agree, before it is recorded. You are responsible for giving that notice, getting any consent required, and following any rules of your employer or the meeting's organizer. Do not record a conversation you are not permitted to record.
• You choose when it records. With automatic recording on, the app starts when a meeting app uses your microphone. You can turn that off, stop or discard any recording, or sign the app out at any time. The app reminds you to tell people when a recording starts; that reminder does not replace your responsibility above.
• How recordings are handled is set out in our Privacy Policy: the audio is sent to our speech-to-text provider, deleted once it has been transcribed, and only the resulting note is kept in your account.
• Transcripts and summaries are machine-made. They can mishear words and names, miss or misattribute what was said, and are not a verbatim or official record. Check anything you rely on.
• It is a beta. The app is provided as is, may change or be withdrawn, and may fail to record, upload or transcribe part or all of a meeting. We are not liable for meetings that are not recorded or not fully captured. We may introduce usage limits for it.
• License. We grant you a personal, non-transferable license to install and use the app on your own devices while you have a ZIBRI account. The Acceptable Use Policy above applies to it.

10. Content Ownership

• Your Content: You retain all rights to content you upload to ZIBRI
• License to Us: You grant us a limited license to store, process, and display your content solely to provide our services
• Our IP: ZIBRI's software, design, and branding remain our intellectual property
• AI Training: We do NOT use your content to train AI models or sell it. We share it only with the service providers that run ZIBRI for you, such as our AI and transcription provider, as described in our Privacy Policy

11. Service Availability

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for temporary service disruptions
• Emergency maintenance may occur without notice

12. Data Backup and Loss

• We maintain regular backups of your data
• You are responsible for maintaining your own backups
• We are not liable for data loss due to user error, deletion, or service issues
• Export your data regularly using our export tools

13. Termination

We may suspend or terminate your account if:

• You violate these Terms of Service
• Your payment fails or account is past due
• We detect fraudulent or abusive activity
• Required by law or legal process

Upon termination, you have 30 days to export your data before permanent deletion.

14. Disclaimers

ZIBRI is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including:

• Fitness for a particular purpose
• Merchantability
• Non-infringement
• Accuracy or reliability of AI-generated content

15. Limitation of Liability

To the maximum extent permitted by law, ZIBRI and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of such possibility.

Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months prior to the claim.

16. AI-Generated Content

• AI responses may contain errors or inaccuracies
• You are responsible for verifying AI-generated content
• We do not guarantee the accuracy of AI summaries or insights
• AI features are provided as assistive tools, not professional advice

17. Indemnification

You agree to indemnify and hold harmless ZIBRI from any claims, damages, or expenses arising from your use of the service, your content (including meetings you record), or your violation of these terms.

18. Governing Law

These terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law rules. Any disputes shall be resolved exclusively in the state or federal courts located in Wisconsin.

19. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or in-app notification. Your continued use after changes constitutes acceptance of the updated terms.

20. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
